1. Acceptance of Terms

By accessing or using ContextFile.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may modify these Terms at any time, and your continued use of the Service constitutes acceptance of the modified Terms.

2. Description of Service

ContextFile.ai provides a platform for creating, managing, and sharing AI context files. These files help users communicate their personal or professional context to AI assistants. The Service includes:

Creation and editing of AI context files
File storage and hosting
Public and private sharing options
API access for developers
Analytics and insights
Export functionality (including llms.txt format)

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. User Content

4.1 Your Content

You retain ownership of all content you create, upload, or share through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of operating and providing the Service.

4.2 Content Restrictions

You agree not to create, upload, or share content that:

Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
Infringes any patent, trademark, copyright, or other proprietary rights
Contains viruses, malware, or other harmful code

4.3 Public Content

If you make your context file public, you understand that it may be accessed by anyone on the internet, including AI systems and search engines. You are solely responsible for any public content you share and any consequences thereof.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Use automated means to access the Service without permission
Reverse engineer or attempt to extract the source code
Remove any copyright or proprietary notices
Use the Service to send spam or unsolicited messages
Engage in any activity that could harm minors
Collect user information without consent

6. Subscription and Payments

6.1 Free and Paid Plans

The Service offers both free and paid subscription plans. Features and limitations vary by plan. Free plans may be subject to usage limits and may not include all features.

6.2 Billing

For paid subscriptions, you agree to pay all applicable fees. Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.

6.3 Renewals and Cancellations

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

6.4 Refunds

Refunds may be provided at our discretion. If you are unsatisfied with the Service, please contact us within 14 days of your purchase to request a refund.

7. API Usage

If you use our API, you agree to comply with any API-specific terms and rate limits. We reserve the right to limit or terminate API access for abuse or excessive usage. API keys should be kept confidential and not shared publicly.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by ContextFile.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without explicit permission.

9. Third-Party Services

The Service may contain links to or integrations with third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such services is at your own risk and subject to their terms and conditions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONTEXTFILE.AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. Our total liability shall not exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless ContextFile.ai and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property rights; or (d) any User Content you submit to the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time through your account settings.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of the United States.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, you agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any arbitration or court proceedings shall be limited to the dispute between us individually, and you waive any right to participate in a class action.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
